Corporate Commercial & Real Estate Law Clerk
Insight Law Professional Corporation seeks an experienced paralegal to join our corporate & real estate department part-time. The ideal candidate is a highly motivated legal professional who thrives on exciting and complex work within a solicitor’s practice. The applicant will assist the corporate commercial & real estate transactions in all aspects of its busy practice, including residential & commercial transactions, incorporation & business startup, corporate reorganization, business sale/purchase transactions, asset sale/purchase transactions, and contract agreements.
Hours of Work: 20 hours per week, Monday to Thursday.
Additional Hours may be required based on operational needs.
Education and Experience:
- Law Clerk or Paralegal or equivalent degree/diploma.
- 4+ years of experience in a corporate & real estate transactional law firm environment
- Good standing with the Law Society of Ontario
Qualifications:
- High degree of self-motivation, organization and professionalism
- Ability to prioritize and manage multiple projects in a time-sensitive manner
- Excellent relationship-building skills
- Excellent interpersonal and verbal communication skills
- High degree of professional ethics and integrity
Responsibilities:
- Draft and review legal documents, including contracts, memoranda, and correspondence
- Handle residential & commercial real estate, asset transaction or business transaction files from open to close
- Perform title searches and identify any problems
- Manage corporate records, including maintenance of minute books
- Liaise with clients to gather necessary information and documentation
- Updated records in the database
- Maintain confidentiality of all firm and client information

Corporate & Commercial Lawyer
Insight Law Professional Corporation is looking for an experienced corporate and commercial lawyer to join our corporate and real estate department as an independent contractor on a fee-split arrangement. We seek a highly motivated legal professional who enjoys working with complex tasks within a solicitor’s practice.
Hours of Work: Hours of work are as required based on operational needs.
Education and Experience:
- Bachelor of Laws or Juris Doctor degree (or international equivalent) and maintenance of good standing with a Canadian Law Society
- Called to the Bar in Ontario and carry professional liability insurance
- 5+ years of experience in a corporate & commercial law firm environment
- Ability to work as part of a highly focused team
Qualifications:

Responsibilities:
- Responsible for managing legal files and advising clients on commercial transactions, business sales/purchases, asset sales/purchases, contract agreements, mergers, joint ventures, financing, franchising, and business dissolution
- Support lawyers and staff within the practice groups department
- Represent clients in negotiations
- Business start-up & incorporation
- Provide legal advice, negotiate contracts and draft contracts for clients.
- Assist in forming, organizing and reorganizing corporate entities and preparing related organizational documents such as corporate minute books.
- Support and facilitate transaction closings and prepare related documents using leading legal technologies
- Perform due diligence, contract analysis, closings, and other routine elements of complex transactions
- Provide legal advice and guidance on corporate governance, compliance, and regulatory matters
- Advise clients on legal risks, potential exposure areas, and strategic solutions
- Collaborate with clients and internal teams to proactively and promptly address legal issues
- Assist in due diligence processes for corporate transactions and provide recommendations based on findings
- Keep abreast of legal developments, trends, and changes that impact corporate and commercial law in Ontario
